These Conditions of Sale apply to all quotations, orders, sales and deliveries of products supplied by Fine Ladder, unless otherwise agreed in writing.
No order for Fine Ladder products shall be binding until it has been confirmed in writing by Fine Ladder.
Any purchase order, quotation, proforma invoice, sales confirmation or written agreement accepted by Fine Ladder shall be subject to these Conditions of Sale.
No other terms or conditions submitted by the Buyer shall apply unless expressly accepted by Fine Ladder in writing.
Fine Ladder reserves the right to refuse, suspend or cancel any order if the product requirements, payment terms, delivery terms, compliance requirements or other commercial conditions cannot be agreed.
All product descriptions, specifications, images, drawings, dimensions, weights, loading capacities and packaging information provided by Fine Ladder are for reference only, unless expressly confirmed in writing.
Final product specifications shall be based on the confirmed quotation, proforma invoice, sample approval, technical drawing or written agreement between Fine Ladder and the Buyer.
Fine Ladder may make reasonable improvements or adjustments to product design, materials, structure, packaging or production process, provided that such changes do not materially affect the agreed product function or quality.
All prices shall be based on the quotation or proforma invoice issued by Fine Ladder.
Unless otherwise agreed, prices do not include import duties, taxes, customs clearance fees, destination port charges, local delivery costs or other charges outside the agreed trade term.
Fine Ladder reserves the right to adjust prices before order confirmation if there are changes in raw material costs, exchange rates, labor costs, transportation costs, government charges or other cost factors.
After an order is confirmed, any change requested by the Buyer, including product design, quantity, packaging, labeling, delivery method or destination, may result in additional charges.
Payment terms shall be confirmed in writing before production.
Unless otherwise agreed, Fine Ladder may require a deposit before production and full balance payment before shipment.
Fine Ladder reserves the right to request full or partial payment before starting, continuing or completing an order.
If the Buyer fails to make payment on time, Fine Ladder may delay production, suspend delivery, cancel the order, cancel other pending orders from the Buyer, or charge reasonable costs arising from the delay.
Bank charges, transfer fees and intermediary bank fees shall be borne according to the agreed payment terms.
Production lead time shall begin only after all required order details have been confirmed, including product specifications, deposit payment, packaging design, logo artwork, samples and any other necessary approvals.
Any delay caused by late payment, incomplete information, delayed sample approval, artwork changes, packaging confirmation or other Buyer-related reasons may result in an extension of the production schedule.
Any delivery date or lead time provided by Fine Ladder is an estimated date only, unless expressly guaranteed in writing.
Fine Ladder shall not be liable for loss, damage or expense caused by reasonable delay in production or delivery.
Delivery terms shall follow the agreed Incoterms, such as EXW, FOB, CFR, CIF or other terms confirmed in writing.
Risk of loss or damage shall pass to the Buyer according to the agreed delivery term.
For FOB, CFR or CIF orders, risk shall pass to the Buyer once the goods are loaded on board the vessel at the port of shipment.
For EXW orders, risk shall pass to the Buyer when the goods are made available for collection at Fine Ladder’s facility or agreed location.
The Buyer shall provide complete and accurate shipping instructions, consignee information and required documents in time. Any delay, cost or loss caused by incorrect or delayed information shall be borne by the Buyer.
Fine Ladder may deliver goods in batches or installments when necessary, unless otherwise agreed in writing.
Fine Ladder shall provide standard export packaging suitable for normal international transportation.
Special packaging, customized cartons, private labels, color boxes, pallets or other packaging requirements must be confirmed before production and may be subject to additional charges.
The Buyer shall be responsible for confirming whether the packaging, labels, manuals, warning signs and product markings meet the requirements of the destination market.
Fine Ladder carries out quality control during production and before shipment according to internal standards and agreed specifications.
The Buyer may arrange inspection before shipment at its own cost, provided that the inspection is scheduled in advance and does not unreasonably delay shipment.
If the Buyer does not arrange inspection before shipment or does not raise written objection within the agreed inspection period, the goods shall be deemed accepted before shipment.
After receiving the goods, the Buyer shall inspect the products promptly. Any claim regarding quantity, visible damage, packaging issues or apparent defects must be submitted in writing within 7 days after receipt of the goods.
Failure to notify Fine Ladder within this period shall be deemed acceptance of the goods.
Any claim must be supported by clear evidence, including order number, product model, photos, videos, inspection reports, packing details and a description of the issue.
Fine Ladder will review the claim based on the confirmed specifications, product condition, usage environment and available evidence.
If a defect is confirmed to be caused by Fine Ladder, Fine Ladder may, at its discretion, provide repair guidance, replacement parts, replacement products, credit, refund or another reasonable solution.
Fine Ladder shall not be responsible for defects, damage or loss caused by improper use, incorrect installation, unauthorized modification, misuse, overloading, poor storage, abnormal working conditions, poor maintenance, transportation after risk transfer, or failure to follow safety instructions.
Products may not be returned without prior written consent from Fine Ladder.
Customized products, OEM products, ODM products, private-label products, special-order products and products manufactured according to the Buyer’s specific requirements may not be returned or cancelled once production has started, unless a confirmed quality issue is caused by Fine Ladder.
If Fine Ladder agrees to accept a return, the return method, freight cost, inspection process and compensation method shall be confirmed in writing.
Fine Ladder may provide OEM and ODM manufacturing services according to the Buyer’s requirements.
The Buyer shall provide accurate drawings, logos, trademarks, packaging designs, labels, manuals, technical requirements and compliance instructions.
The Buyer warrants that all designs, trademarks, logos, artworks, drawings and materials provided to Fine Ladder are legally owned by the Buyer or properly authorized.
The Buyer shall indemnify Fine Ladder against any claim, loss, damage or cost arising from intellectual property infringement related to materials provided by the Buyer.
The Buyer shall ensure that the products are used, stored, maintained, distributed and resold in accordance with applicable laws, safety standards, user instructions and industry practices.
The Buyer is responsible for informing distributors, retailers and end users of proper product use, loading limits, safety warnings and maintenance requirements.
Fine Ladder shall not be liable for accidents, injuries, losses or damages caused by misuse, unsafe operation, unauthorized modification, improper maintenance or use beyond the intended purpose of the product.
Fine Ladder may provide products according to applicable standards or certification requirements where agreed in writing, such as EN131, ANSI or other relevant ladder standards.
The Buyer is responsible for confirming the specific import regulations, certification requirements, labeling rules, documentation requirements and safety standards of the destination country before placing an order.
Unless expressly agreed in writing, Fine Ladder does not guarantee that the products automatically comply with all local laws, retail requirements or certification rules in the Buyer’s market.
All product designs, technical documents, drawings, photos, catalogues, website content, marketing materials, trademarks and other materials created by Fine Ladder remain the property of Fine Ladder unless otherwise agreed in writing.
The Buyer shall not copy, reproduce, modify, distribute or use Fine Ladder’s intellectual property without written permission.
Both parties shall keep confidential any non-public technical, commercial, pricing, customer, product or business information received during cooperation.
Confidential information shall not be disclosed to any third party without prior written consent, except where disclosure is required by law, regulation, customs authority, inspection body or professional adviser.
To the maximum extent permitted by applicable law, Fine Ladder shall not be liable for indirect, incidental, special or consequential losses, including loss of profit, loss of business, loss of market, loss of reputation, production interruption, recall cost or loss caused by delay.
Fine Ladder’s total liability for any claim shall not exceed the value of the specific order or affected products, unless otherwise required by applicable law.
Fine Ladder shall not be liable for any delay or failure to perform its obligations caused by events beyond its reasonable control, including but not limited to natural disasters, fire, flood, epidemic, war, civil unrest, strikes, port congestion, shipping delays, customs restrictions, government actions, power shortages, raw material shortages, exchange control, transportation disruption or other force majeure events.
If a force majeure event occurs, Fine Ladder shall notify the Buyer as soon as reasonably practicable and take reasonable steps to reduce its impact.
If the Buyer fails to make payment, refuses to accept delivery, delays shipping arrangements, provides incorrect information, becomes insolvent, or otherwise breaches its obligations, Fine Ladder may suspend production, delay delivery, cancel the order, retain any deposit or payment to cover losses, and claim additional costs or damages where applicable.
The governing law and dispute resolution method shall be subject to the relevant sales contract, proforma invoice or written agreement between Fine Ladder and the Buyer.
In the absence of a separate written agreement, both parties shall first attempt to resolve any dispute through friendly negotiation.
Fine Ladder reserves the right to update these Conditions of Sale from time to time.
The latest version published on Fine Ladder’s website shall apply to future quotations, orders and sales, unless otherwise agreed in writing.
